These Terms of Service (“Terms”) govern your access to and use of FeedRanks websites, applications, and related services, including www.feedranks.com and app.feedranks.com (collectively, the “Service”). By accessing or using the Service, you agree to these Terms.
1. Agreement
If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree to these Terms, do not use the Service.
2. The Service
FeedRanks provides AI-assisted tools and workflows to help ecommerce teams audit, enrich, optimize, monitor, and manage product feed and catalog data across shopping and advertising channels. Features may change over time as we improve the product.
3. Accounts and eligibility
- You must provide accurate account information and keep it current.
- You are responsible for safeguarding your login credentials.
- You must be at least 16 years old and able to form a binding contract to use the Service.
- You are responsible for all activity that occurs under your account.
4. Subscriptions, trials, and payment
Paid plans, free trials, and usage limits are described on our pricing page or in a separate order form. Fees are charged according to the selected plan. Unless otherwise stated, subscriptions renew automatically until canceled. Taxes may apply. Refunds, if any, are handled according to the plan terms in effect at purchase.
5. Your content and data
You retain ownership of product catalogs, feed files, store data, brand assets, and other materials you submit to the Service (“Customer Content”). You grant FeedRanks a limited license to host, process, analyze, display, and transmit Customer Content solely as needed to provide and improve the Service.
You represent that you have all rights necessary to provide Customer Content and to authorize FeedRanks to process it, including any required rights from connected platforms.
6. Acceptable use
You agree not to:
- Use the Service for unlawful, deceptive, or harmful purposes
- Attempt to gain unauthorized access to systems or data
- Interfere with or disrupt the Service or other users
- Reverse engineer, scrape, or misuse the Service except where applicable law prohibits such restriction
- Upload malware or content that infringes intellectual property or privacy rights
- Use the Service in a way that violates channel, platform, or advertising partner policies
7. Third-party services and integrations
The Service may integrate with third-party platforms such as Google, Meta, Microsoft, Shopify, and others. Your use of those services is subject to their terms and policies. FeedRanks is not responsible for third-party outages, policy changes, or data handling outside our control.
8. AI-assisted features
Some features use automated or AI-assisted processing to suggest titles, attributes, categories, issue prioritization, or other feed improvements. Outputs may be incomplete or inaccurate. You remain responsible for reviewing results before publishing to live channels.
9. Intellectual property
FeedRanks and its licensors own the Service, including software, designs, trademarks, documentation, and branding. These Terms do not transfer ownership of FeedRanks intellectual property to you. Feedback you provide may be used by FeedRanks without obligation to you.
10. Confidentiality
Each party may receive confidential information from the other. Confidential information must be protected with reasonable care and used only for purposes related to the Service, except where disclosure is required by law.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FEEDRANKS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT FEED RESULTS WILL ACHIEVE ANY PARTICULAR RANKING, APPROVAL, OR REVENUE OUTCOME.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FEEDRANKS AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO FEEDRANKS FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
13. Indemnification
You agree to defend and indemnify FeedRanks against claims arising from your Customer Content, your use of the Service, your connected accounts, or your violation of these Terms or applicable law.
14. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, fail to pay fees, or if we discontinue the Service. Upon termination, your right to use the Service ends. Provisions that by their nature should survive will survive termination.
15. Changes to the Service or Terms
We may update the Service and these Terms from time to time. The “Last updated” date shows the latest revision. Continued use after changes become effective constitutes acceptance of the updated Terms.
16. Governing law
These Terms are governed by the laws applicable in the jurisdiction where FeedRanks principally operates, without regard to conflict of law principles, unless mandatory local consumer law provides otherwise.
